Terms of Service

By accessing and using Koti Smart Communities services ("Koti", "we", "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access the service. These Terms apply to all platform users, including condominium administrators, residents, security personnel, and any other authorized users.

Koti provides a comprehensive management platform for condominiums and residential communities that includes: • Administrative web portal for property management • Mobile application for residents and administrators • Access control system with QR codes • Payment and maintenance fee management • Community communication tools • Amenities and reservation management • Package and mail management • Financial and operational reports The service is available through monthly or annual subscription.

To use our services, you must: • Provide accurate, complete, and current information • Maintain the security of your account and password • Notify us immediately of any unauthorized use • Be responsible for all activities that occur under your account • Be at least 18 years old or have legal guardian authorization We reserve the right to suspend or terminate accounts that violate these terms.

You agree NOT to: • Use the service for any illegal or unauthorized purpose • Transmit viruses, malware, or malicious code • Attempt to access unauthorized areas of the system • Interfere with the service or servers • Violate intellectual property rights • Harass, abuse, or harm other users • Create multiple accounts to evade restrictions • Share access credentials with unauthorized third parties

Your use of our services is also governed by our Privacy Policy. By using Koti, you consent to the collection and use of information as detailed in that policy. We comply with Mexico's Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP) and other applicable data protection regulations.

• Prices are subject to change with 30 days prior notice • Payments are non-refundable, except as required by law • Non-payment may result in service suspension or termination • You are responsible for all applicable taxes • Volume discounts apply according to the current pricing table • Annual advance payment includes a 20% discount

Koti and its licensors own all intellectual property rights related to the service, including: • Software and source code • Designs, logos, and trademarks • Content, texts, and images • Documentation and training materials Users retain rights to data they enter into the system, granting Koti a limited license to process such data as necessary to provide the service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW: • Koti will not be liable for indirect, incidental, special, or consequential damages • Our total liability will not exceed the amount paid by you in the last 12 months • We do not guarantee that the service will be uninterrupted or error-free • Users are responsible for maintaining backups of their critical information

You agree to indemnify and hold harmless Koti, its affiliates, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including attorney fees) arising from: • Your use of the service • Violation of these Terms • Violation of third-party rights • Content you post or transmit through the service

We reserve the right to: • Modify or discontinue any aspect of the service • Change prices with prior notice • Update these Terms periodically • Introduce new features or remove existing ones Material changes will be notified at least 30 days in advance.

Either party may terminate these Terms: • Users can cancel their subscription at any time • Koti may terminate or suspend access immediately for terms violation • Upon termination, your right to use the service will cease immediately • Sections that by their nature should survive will remain in effect

These Terms will be governed by and construed in accordance with the laws of Mexico. Any dispute related to these Terms will be subject to the exclusive jurisdiction of the competent courts of Mexico City. For minor disputes, parties agree to first attempt to resolve the conflict through mediation before resorting to litigation.

• If any provision is deemed invalid, the others will remain in force • These Terms constitute the entire agreement between the parties • Failure to exercise a right does not constitute a waiver thereof • Assignment of these Terms is not permitted without prior written consent
